Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you and VABERACO BOOKMI TECH PRIVATE LIMITED, a Private Limited Company incorporated under the Companies Act, 2013, having its registered office at Flat No. 1804, Wing-A, Shiv Shivam Tower, New Link Road, Opp. Lotus Petrol Pump, Adarsh Nagar, Mumbai, Mumbai Suburban, Maharashtra – 400102, India, GSTIN 27AALCV1605J1Z6 (“bookmi”, “Company”, “we”, “us” or “our”). They govern your access to and use of the bookmi website, applications, APIs and related services (collectively, the “Platform”).

By creating an account, accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, Refund & Cancellation Policy and Disclaimer, each of which is incorporated by reference. If you do not agree, you must not use the Platform.

1. Our role — an intermediary

bookmi operates an online marketplace that connects “Businesses” (users who post tasks) with “Earners” (users who apply for and complete those tasks). bookmi is an “intermediary” within the meaning of the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We merely provide the technology platform, escrow-style wallet, proof and verification tools, and payout facilitation.

bookmi is not a party to any contract for services formed between a Business and an Earner, is not the employer, agent or partner of either, and does not itself perform tasks, supply labour, or guarantee the quality, safety, legality or outcome of any task. The Business and the Earner are solely responsible for their dealings with each other. We rely on the safe-harbour protections available to intermediaries under Section 79 of the Information Technology Act, 2000 and the rules made thereunder.

2. Eligibility

  • You must be at least 18 (eighteen) years of age and competent to contract under the Indian Contract Act, 1872. The Platform is not intended for, and may not be used by, minors.
  • You must be an Indian resident or otherwise legally able to provide or receive services within India and to transact in Indian Rupees.
  • If you register on behalf of a business entity, you represent that you are authorised to bind that entity, and “you” refers to that entity.
  • Earners must complete identity verification (KYC) before withdrawing funds, as described in these Terms.

3. Accounts & security

  • You must provide accurate, current and complete information when registering and keep it up to date.
  • You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
  • One individual may hold only one account unless we expressly permit otherwise. Accounts are personal and may not be sold or transferred.

4. Acceptable use

You agree that you will not, and will not permit others to:

  • post, request, perform or facilitate any task that is unlawful, fraudulent, deceptive, infringing, defamatory, obscene, harassing, or that endangers the safety of any person;
  • impersonate any person, misrepresent your identity or affiliation, or submit false proof of task completion;
  • circumvent the Platform to transact off-platform in order to avoid fees, or solicit users to do so;
  • upload malware, scrape or harvest data, interfere with the Platform’s operation, or attempt to gain unauthorised access to any system; or
  • use the Platform for money laundering, terrorist financing, or any activity prohibited under applicable law.

5. Task lifecycle

  • Posting. A Business creates a task specifying scope, location, budget, number of Earners needed and a deadline. To publish a paid task, the Business must hold sufficient funds in its bookmi wallet to cover the task budget plus applicable platform fees and taxes, which are reserved when the task is posted.
  • Application & assignment. Earners apply or are invited; the Business assigns one or more Earners.
  • Completion & proof. The Earner performs the task and submits proof (which may include photos, GPS/location data and other evidence) through the Platform.
  • Verification & approval. The Business reviews the proof and approves or rejects it. On approval, the agreed task budget is released to the Earner’s wallet. Disputes are handled as set out in Section 12.

6. Proof & verification

Earners must submit truthful, unaltered proof of completion. By submitting proof, you consent to its collection and processing, including any location/GPS metadata captured as part of the proof flow, as described in our Privacy Policy. Submitting falsified, plagiarised or misleading proof is a material breach of these Terms and may result in rejection of the task, forfeiture of earnings for that task, suspension and recovery of amounts wrongfully obtained.

7. The bookmi wallet

The Platform provides each user with a non-interest-bearing wallet denominated in Indian Rupees, used to fund tasks (Businesses) and to receive approved earnings (Earners). The wallet is a record of amounts held or owed within the Platform and is operated through our payment partner; it is not a bank account, deposit or e-money instrument, and balances do not earn interest. Funds reserved against an active task are held pending approval, rejection or cancellation of that task.

8. Fees, charges & taxes

Using the Platform attracts the fees set out below. All percentages are of the relevant transaction amount. Goods and Services Tax (GST) at the applicable rate (currently 18%) is charged in addition to each fee (i.e. fees are exclusive of GST) and is shown as a separate line. Fees are inclusive of bookmi’s consideration for the platform and facilitation services it provides.

  • Wallet recharge. A platform convenience fee of 7.5% is levied on every wallet recharge, plus applicable GST (18%, exclusive — shown as a separate line).
  • Earner withdrawal. A processing fee of 3.5% is deducted from each withdrawal amount, plus applicable GST (18%, exclusive).
  • Task posting. At task release, the Business funds a 12% platform fee plus 18% GST on that fee; the Earner nets the full task budget.

Fees are deducted automatically at the time of the relevant transaction. Convenience, platform and processing fees are non-refundable except where required by law or as stated in our Refund & Cancellation Policy. We may revise fees prospectively on reasonable notice; the fees in effect at the time of a transaction apply to that transaction.

9. Payouts

Approved earnings credit to the Earner’s bookmi wallet on proof approval; on a valid withdrawal request, funds reach the registered bank/UPI within 7 (seven) days of approval, subject to KYC + admin approval. Withdrawals require completed identity verification and a valid, verified bank account or UPI handle in the Earner’s name. We may withhold or delay a payout where it is reasonably required to investigate suspected fraud, a dispute, a chargeback, or to comply with law.

10. Taxes & GST

bookmi charges GST on its fees as set out above and will issue tax invoices as required. You are solely responsible for determining, reporting and paying any taxes (including income tax, GST and TDS/TCS, where applicable) arising from your own activities and earnings on the Platform. bookmi may deduct or collect tax at source where required by law and may require your PAN, GSTIN or other tax information.

11. Intellectual property & content

The Platform, including its software, design, trademarks and content, is owned by or licensed to bookmi and is protected by law. You retain ownership of content you submit (including task descriptions and proof materials) but grant bookmi a worldwide, royalty-free licence to host, store, reproduce and display that content to operate, secure and improve the Platform and to resolve disputes. You represent that you have the rights necessary to grant this licence.

12. Disputes between users

Disputes between a Business and an Earner over task scope, quality or proof should first be resolved directly between them. The Platform provides a dispute mechanism through which either party may escalate; bookmi may, at its discretion and acting reasonably, mediate, review submitted evidence and determine the release, partial release or refund of reserved funds. Such determinations are made to facilitate resolution and do not make bookmi a party to the underlying contract.

13. Suspension & termination

You may close your account at any time. We may suspend or terminate your access, withhold funds pending investigation, or remove content if you breach these Terms, if required by law or a payment partner, or to protect the Platform or other users. On termination, accrued payment obligations, and Sections relating to fees already incurred, liability, indemnity, and governing law, survive. Lawfully owed wallet balances will be returned subject to KYC, applicable fees and any lawful set-off.

14. Disclaimers & no guarantee

The Platform is provided on an “as is” and “as available” basis. bookmi does not guarantee the availability of tasks, any level of earnings, or that any task will be posted, accepted, completed or approved. Please read our full Disclaimer.

15. Limitation of liability

To the maximum extent permitted by law, bookmi and its directors, officers and employees will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, earnings, data or goodwill, arising out of or relating to your use of the Platform or your dealings with any other user. To the maximum extent permitted by law, bookmi’s aggregate liability for any claim arising out of or relating to the Platform will not exceed the total platform fees actually paid by you to bookmi in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

16. Indemnity

You agree to indemnify, defend and hold harmless bookmi and its directors, officers and employees from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your tasks or proof, your breach of these Terms or applicable law, or your dealings with any other user.

17. Governing law, jurisdiction & dispute resolution

These Terms are governed by and construed in accordance with the laws of India. Subject to the user-dispute mechanism above, the parties will first attempt to resolve any dispute amicably through good-faith negotiation. Any dispute, claim or difference arising out of or relating to these Terms or the Platform that is not so resolved shall be subject to the exclusive jurisdiction of the competent courts at Mumbai, Maharashtra, India.

18. Changes & contact

We may amend these Terms from time to time. Material changes will be notified through the Platform or by email, and continued use after the effective date constitutes acceptance.
